SYNAOS GmbH (hereinafter: "SYNAOS") is conducting a Traffic Management Challenge.
SYNAOS offers the participants (hereinafter: "Participants") the participation in the Challenge exclusively in accordance with the following conditions.
By participating in the Challenge, the Participant accepts these challenge conditions:
The organizer of the SYNAOS Traffic Management Challenge is SYNAOS GmbH, Goseriede 4, 30159 Hannover, Germany.
Participation is open to natural persons of legal capacity who are at least 18 years of age at the time of participation and have their permanent residence within the EU.
Participation is only possible as a "team", whereby a team may consist of at least one (1) and a maximum of five (5) persons.
Excluded from participation are employees of SYNAOS and its economically related companies in the sense of § 271 HGB (German Commercial Code), as well as persons close to them and other persons involved in the conception and implementation of this Challenge.
Participation via other commercial service providers is excluded.
In order to participate in the Challenge, participants must first register as a "team" using the contact form provided on www.blow-us-away-get-25k.com.
Registration to participate in the Challenge is possible until the end of 30.06.2022 (CEST). Filling out and submitting the contact form is merely an application to participate. There is no entitlement to participate.
The decision about the admission of a team to the Traffic Management Challenge is made by SYNAOS at its own discretion. After the registration period, SYNAOS will contact the teams that have successfully registered for the Challenge and that will participate in the Challenge.
Each team may only register for the Challenge once. Participation in the Challenge is free of charge.
4. Procedure of the Challenge
After the registration period, the team will receive a sample layout including a description and basic and input parameters relevant for the challenge. Immediately after receiving this sample layout, the team has one week to familiarize itself with the data provided.
The participants have to organize their hard- and software as well as all other necessary work equipment themselves. The use of SYNAOS software, especially SYNA.OS LOGISTICS, is excluded.
A team has to work out its solution on its own, the use of personal support from persons outside the team will lead to the disqualification of the team.
b) Actual procedure
At the start of the challenge new input parameters will be provided. The actual processing period of the challenge is 12 time hours (1h = 60min). This period starts as soon as the participants confirm that they have received the relevant documents for the processing from SYNAOS. Within the processing period, the information relevant for the solution must be submitted to SYNAOS.
If the participants confirm receipt of the documents at 08:00:00 (CEST) on 30.06.2022, the processing period ends at 20:00:00 (CEST) on 30.06.2022.
If the solution is submitted at 20:00:01, the processing time has expired and the solution will no longer be considered. In this case, the challenge will be considered as failed.
5. Successful passing of the Challenge
The goal of the Traffic Management Challenge is to solve the scenario given by SYNAOS within the specified processing time of 12 hours "ready to drive".
The scenario is only considered "ready to drive" and thus successfully passed, if immediately after the processing period, at least 80 vehicles are in continuous operation for at least 24 hours without a vehicle standing still/not moving for more than 15 minutes.
b) Verification of the solution
There are two alternative ways to verify successful completion of the Traffic Management Challenge. SYNAOS will work with Team to determine one of the following options prior to the start of the processing period.
1. team sends SYNAOS all position updates of vehicles generated within 24 hours of continuous operation. The resolution should be at least 20cm and the time stamps should not be more than one (1) second apart.
2. the team visits SYNAOS at its headquarters in Hannover and gets the relevant input parameters for the challenge on site. The challenge then takes place as a "hackathon". The concrete course of the visit will be determined in advance with the team.
Upon successfully passing the Challenge (as previously defined), the team will receive a cash reward of €25,000. The bonus will be transferred to the team within 10 working days to the account specified by the team with debt-discharging performance.
The premium claim is not assignable.
7. Third party rights
Any contributions published by a team must not be illegal, and in particular must not contain insults or false statements of fact.
Participants confirm that the solution they submit does not violate any third-party rights and that all licensing conditions are complied with. Participants may use both commercial and freely available software within the scope of copyright and licensing conditions.
Participants do not have the right to use SYNAOS' logos, trademarks or other proprietary legal rights.
SYNAOS assumes no liability or responsibility for any behavioral or legal violations by participants in the course of the Challenge.
The participants indemnify SYNAOS from any claims of third parties including the necessary costs of legal prosecution as a result of legal or statutory violations.
8. Exclusion from the Challenge
SYNAOS is entitled to exclude participants from the Challenge at any time and without giving reasons if they violate applicable law or these Terms and Conditions of Participation, provide false, misleading or fraudulent information, use unfair means and/or otherwise obtain advantages through manipulation. The same applies to reasonable suspicion of such an act.
This is the case if, for example, automatic scripts that violate the general conditions of the Challenge, hacker tools, Trojans or viruses are used or if a participant gains an advantage through other unauthorized means. Furthermore, untrue personal data can lead to exclusion. If necessary, the prize that has been wrongly distributed may be withdrawn and/or reclaimed.
9. Subject to change
SYNAOS is entitled to cancel or terminate the Challenge at any time for good cause without prior notice. This applies in particular if
a. technical problems make this necessary, or
b. manipulations are detected and/or there is a reasonable suspicion in this regard or otherwise a proper execution of the Challenge is no longer ensured, in particular in case of hardware or software failure, program errors, computer viruses or if there are unauthorized interventions by third parties as well as mechanical, technical or legal problems,
c. the team communicates or publicly discusses (e.g. on the internet) the task of the Challenge, the information provided by SYNAOS or any aspect related to it with third parties.
SYNAOS is not liable for
a. Errors in the transmission or receipt of data;
b. Theft or destruction as well as unauthorized access to and changes in subscriber data;
c. technical malfunctions of any kind;
d. Damage to the computer of a participant or any other person resulting from participation in the Challenge.
SYNAOS assumes no liability for the availability and function of the Challenge.
The following exclusions and limitations of liability shall otherwise apply to any liability of SYNAOS for damages, without prejudice to the other legal requirements for claims:
SYNAOS shall be liable without limitation insofar as the cause of damage is based on intent or gross negligence on the part of SYNAOS. Furthermore, SYNAOS shall be liable for the slightly negligent violation of essential obligations, the violation of which endangers the achievement of the purpose of the contract, or for the violation of obligations, the fulfillment of which make the proper execution of the Challenge possible in the first place and on the compliance with which the contractual partners regularly rely. In this case, however, SYNAOS shall only be liable for the foreseeable, contract-typical damage. SYNAOS shall not be liable for the slightly negligent violation of obligations other than those mentioned in the preceding sentences.
The above limitations of liability shall not apply in the case of injury to life, body and health and in the case of fraudulently concealed defects.
Insofar as the liability of SYNAOS is excluded or limited, this shall also apply to the personal liability of employees, representatives and vicarious agents of SYNAOS.
In the context of the SYNAOS Traffic Management Challenge, SYNAOS intends to disclose confidential information to participants under certain circumstances.
1. "Confidential Information" means, in addition to trade secrets as defined in Section 2 No. 1 of the German Trade Secrets Act (GeschGehG) of SYNAOS and, even beyond trade secrets, all operational matters of a confidential nature, including confidential matters of companies affiliated with SYNAOS and of business partners of SYNAOS, regardless of their form and embodiment and including the fact that such information has been disclosed in the context of the Traffic Management Challenge.
This includes any information disclosed to Participants in connection with the Challenge that (i) SYNAOS designates as secret or confidential or with respect to which SYNAOS directs that it be kept secret or confidential, or (ii) SYNAOS discerns, or from the perspective of an objective third party, is required to keep secret or confidential and has a legitimate interest in keeping secret.
2. The participants undertake that the Confidential Information will be
a) will be kept secret during the execution of the Challenge and after its termination and will not be disclosed, communicated or made accessible to third parties (in whole or in part); will be kept secret during the execution of the Challenge and after its termination and will not be disclosed, communicated or made accessible to third parties (in whole or in part);
b) be used only for the purpose for which it was provided by SYNAOS; in particular, participants may not use Confidential Information or any part thereof, both during the performance of the Challenge and after its termination, directly or indirectly, for any purpose other than the performance of the Challenge, in particular for competitive or commercial purposes or any other purpose that could harm SYNAOS in any way, without the prior written consent of SYNAOS; in particular, participants shall not develop, manufacture or distribute products for the development, manufacture or distribution of which Confidential Information is required; participants shall not apply for industrial property rights using the Confidential Information.
c) only be used for the purpose for which it was provided by SYNAOS; in particular, participants may not use Confidential Information or any part thereof, directly or indirectly, for any purpose other than the performance of the Project, both during the performance of the Project and after its termination, without the prior written consent of SYNAOS, including, without limitation, for competitive or commercial purposes or any other purpose that could in any way harm SYNAOS;
d) neither be passed on to third parties nor made accessible to third parties in any other form, neither be passed on to third parties nor made accessible to third parties in any other form,
3. At the request of SYNAOS, participants shall return or destroy or delete all documents or other media containing Confidential Information, unless participants are required by law or by lawful order of a court of competent jurisdiction, a securities exchange or a competent authority to retain them. Confidential Information stored in routine electronic backups need not be deleted, provided that this would only be possible with disproportionate effort and the backup media (i) are overwritten within a reasonable period of time in the normal course of their reuse and (ii) are kept at all times in compliance with the obligations under Section 3 and are not accessible to third parties. The destruction or deletion of the Confidential Information shall - to the extent technically possible with reasonable effort - be carried out in such a way that a recovery is not possible according to the state of the art existing at the time of destruction or deletion.
4. Participants agree to take reasonable protective measures to safeguard Confidential Information.
Appropriate protective measures shall include at least the following measures:
a) the Confidential Information shall be protected against unauthorized and/or unintended access as well as unintended publication by appropriate and reasonable state of the art access restricting measures; the Confidential Information shall be protected against unauthorized and/or unintended access as well as unintended publication by appropriate and reasonable state of the art access restricting measures;
b) if participants are granted access to the IT systems of SYNAOS, the participants are obliged to keep the access data secret; the participants are prohibited from using or allowing to use the access in a way that is not absolutely necessary for the purposes of the challenge.
5. For each individual case of culpable violation of one of the obligations from section 11. secrecy, the participants commit themselves to pay an appropriate contractual penalty to SYNAOS. The amount of the contractual penalty shall be determined by SYNAOS at its reasonable discretion and, in case of dispute, shall be reviewed by the competent court.
In the case of continuous actions (e.g. non-conclusion of non-disclosure agreements with representatives, improper use of confidential information without disclosure, etc.), one week each shall be considered as an independent violation justifying the contractual penalty claim.
Claims for damages exceeding the contractual penalty shall remain unaffected. Any contractual penalty paid shall be offset against any existing claims for damages.
The payment of the contractual penalty shall not release the customer from the further fulfillment of the obligations arising from this confidentiality agreement and shall not affect the right of SYNAOS to demand injunctive relief.
12. Final Provisions
The law of the Federal Republic of Germany is exclusively applicable.
Legal recourse to review the challenge is excluded.

We need the above data to carry out the Challenge and to notify you or contact you if you have successfully participated. The data will not be used for any other purpose.
A transfer of personal data to third countries does not take place in relation to the implementation of the Challenge.

5. duration/criteria of storage
Your data, which we have collected in the course of the Challenge, will be deleted after the Challenge has been completed.
6. data subject rights
You can request information about the data stored about you using the contact details above. In addition, under certain conditions, you can demand the correction or deletion of your data. You may also have the right to restrict the processing of your data.
7. right of complaint to the supervisory authority
You have the option of submitting a complaint to a data protection supervisory authority. The state data protection supervisory authority in whose state we have our registered office is responsible for us.
